Pharmaceutical Company Technology Transformation

We were engaged on a major technology transformation project for a global pharmaceutical client. We advised on the procurement and contracting process to enable our client to choose a global service integrator to lead the transformation programme and manage a multi-vendor environment for ongoing services. The project was valued in excess of R350 million and was to implement industry leading technology to enable our client to centrally govern a more standardised, secure and future proofed environment, while at the same time driving material savings on the existing cost of the environment.

We performed the extensive technical, commercial and legal due diligence of the "As Is" environment, developed the project's base case, ran the extensive procurement process through RFI, RFP and BAFO and supported the final legal contracting process, including the master agreement and the roll-out of the deal across multiple-jurisdictions. This project demonstrates our capability to support the procurement and legal process for a major project of this kind, creating continuity and synergy between procurement and legal throughout the process.

Tender process to transform manufacturing sites to renewable energy sources

We assisted a large client in the FMCG sector to issue a tender requesting bids for the provision of renewable energy for its manufacturing sites in South Africa and the rest of Africa. This was part of its strategy to ensure that 100% of the electricity requirements at its manufacturing sites across Africa come from renewable sources by 2025. It was also an important initiative to enable the client to achieve its ESG goals while driving cost-savings for its African operations. Our services included drafting, negotiating and reviewing multi-year on-site and offsite power purchase agreements (PPAs) with the successful bidders, supporting negotiations with national electricity producers and supporting the procurement team’s interaction with bidders.

Network Infrastructure deal RFP for a food and packaged goods company

We assisted a large South African food and packaged goods company to run a multi-million Rand network infrastructure deal RFP, including advising the client on the service levels and service credit mechanisms involved. We led the review and negotiation of a service level agreement in relation to the provision of network infrastructure service and also led the negotiation of a multitude of work orders detailing the network infrastructure services, service provider obligations, client responsibilities, service levels and charges.

Re-Negotiation of Key Suppliers for Financial Institution in South Africa

We assisted a major financial institution with a project involving the procurement and re-negotiation across multiple technology vendors due to the international divestment of a major financial institution. We worked with out client to scope, transition and improve their risk and commercials across numerous key suppliers, in essence re-procuring the organisation’s entire technology contract landscape.

Major Technology Contracts Due Diligence and Remediation

As a result of M&A activity, we were tasked with reviewing 1167 complex, multi-disciplinary and multi-jurisdictional agreements across more than 300 different global vendors to enable an approximately £1 billion deal. The output was to gain insight into the client contract landscape to gauge the flexibility of its software licences and how these might be redistributed across global group entities. We were also tasked with the novation of contracts and resulting negotiations with key software vendors across global group IT.
